Annual General Meeting of holders of Renault redeemable shares 

The annual general meeting of holders of Renault redeemable shares will be held on first summons on Thursday, April 5, 2012 at 10:00 AM at 13-15, quai Le Gallo - 92100 Boulogne-Billancourt and in the very probable case where the quorum is not reached, held on second summons, on Tuesday, April 17, 2012 at 3:00 PM, at the Renault Square Com - 68, quai Georges Gorse - 92100 Boulogne-Billancourt. 

 

Important: Due to the very probable case where the quorum will not be reached for the first summons, the holders who want to attend at the AGM are carefully adviced to directly move and attend at the meeting of April 17, 2012.

 

Summons :

 

The summons for this meeting is published in the BALO and in the Journal Spécial des Sociétés des Hauts de Seine on March 18th and 20th, 2012 (art. L.228-59 of the Commercial Law and art. R 228-67 of the same Law, from the decree of March 23rd of 1967).

 

The holders of registered redeemable shares will receive directly a summons with a proxy, a form of vote by correspondence, the agenda, the text of resolutions and a T envelope.

 

If, as expected, the quorum is not reached, a second summons for the meeting of April 17, 2011 shall be published in the BALO and in Journal Spécial des Sociétés des Hauts de Seine, without any quorum conditions.

 

Access - Representation:

 

To attend or be represented at this meeting :
 

  • holders of registered redeemable shares must be registered on BNP Paribas Securities Servicies’ registers at the latest three days before the meeting at hour zero (Paris time)
  • holders of bearer redeemable shares will owe for the same delay to make proof, to establishments domiciles of the recording of their titles, by a certificate of participation issued by their bank, credit institution or by a Broker.

These certificates of participation will have to be received by BNP Paribas Securities Services (with the proxy or the form of vote by correspondence if necessary) at the latest three days before the meeting at hour zero (Paris time).

 

Some cards allowing to attend the meeting or proxies permitting to be represented will be delivered to holder of redeemable shares who will ask BNP Paribas Securities Services for it or their financial intermediary.

 

Form of vote by correspondence:

 

Holder of redeemable shares have the possibility to vote by correspondence with a specific form that will be delivered directly to the holders of registered redeemable shares or, for the holders of bearer redeemable shares, given from their financial intermediary.

 

The vote by correspondence will be considered only if the form reaches BNP Paribas Securities Services at the latest three days before the meeting at hour zero (Paris time).

A holder of redeemable shares can not, at the same time, send to BNP Paribas Securities Services a proxy and a form of vote by correspondence. However, in case of returning the two documents, only the proxy will be taken into account, subject to the expressed votes with the form of vote by correspondence.

 

The form is valid for the successive meeting summon with the same agenda.

 

Proxies:

 

Proxies duly filled and signed must be sent to BNP Paribas Securities Services.

 

Proxies given for the General Meeting of April 5, 2012 remain valid for the Meeting of April 17, 2012.

 

The announcement of the name and the revocation of a proxy can be also made by electronic way, according to the following modalities:
 

  • For the carriers of non-voting redeemable shares held in “pure” registered form: by sending the proxy form under scanned format to the following e-mail address: paris.bp2s.france.cts.mandats@bnpparibas.com by specifying on the power the name of the concerned company, the date of the meeting, their name, first name, address and their identifier with BNP Paribas Securities Services as well as names and first name of the appointed or revoked proxy.
  • For the carriers of non-voting redeemable shares held in bearer form: by sending under scanned format to the following e-mail address: paris.bp2s.france.cts.mandats@bnpparibas.com by specifying the name of the concerned company, the date of the meeting, their name, first name, addresses and complete banking references as well as name and first name of the appointed or revoked proxy.

Without the indication of the beneficiary of the proxy, the President of the general meeting of the holders of redeemable shares will be automatically indicated as representative without any faculty of replacement.

The minutes and attendance registers of previous annual general meetings are available for consultation by the Holders of redeemable shares, giving proof of this quality, at Renault’s headquarters (art. R228-76 of the Commercial Law, from the decree of March 23, 1967) and by making a prior appointment by telephone on +33 (0)1 76 84 42 65.

The dividend payment 

The next interest payment will be made on October 2012. Renault will pay EUR 21.50 per redeemable share for the year 2011 including a fixed amount of EUR 10.29 and a variable amount of EUR 11.21.
